1. Identification of the Provider
SKUFO is published by FAVTECH, whose full legal information is available in the legal notice.
2. Definitions
- Service: the SKUFO application accessible at https://skufo.io.
- Customer: the legal entity subscribing to the Service.
- Subscription: the right to access the Service for a defined period, under a chosen pricing plan.
- Quota: the monthly SKU volume and number of connected stores included in the subscribed plan.
3. Plans and Prices
The current plans and prices are published on the SKUFO pricing page. As of the date these terms were updated, plans are billed per connected Shopify store and include a free trial period. The current pricing is available on the pricing page and in the Shopify billing interface at the time of subscription.
Prices are indicated in the currency shown on the pricing page, exclusive of tax. Applicable VAT and any local taxes are added in accordance with the regulations in force at the time of billing.
FAVTECH reserves the right to modify its prices. Changes are communicated to the Customer by email at least thirty (30) days before they take effect and apply to the next renewal of the subscription.
4. Order and Effective Date
The subscription is made online through the Service's order process. It takes effect upon validation of payment by the Customer. A confirmation email and an invoice are sent to them.
5. Duration, Renewal, Termination
- The subscription is entered into for a monthly term, renewable by tacit renewal for successive periods of the same duration, unless terminated.
- The Customer may terminate their subscription at any time from their billing area. Termination takes effect at the end of the current subscription period; no prorated refund is due for the period started.
- FAVTECH may terminate the subscription as of right, without prior formal notice, in the event of a serious breach of the ToS, notably non-payment, fraud or security breach.
6. Payment
- Payment is processed via Shopify's native billing system for Shopify-installed subscriptions, or via the Stripe provider for direct subscriptions. FAVTECH has no access to the Customer's full banking data.
- The first installment is charged upon subscription (after the trial period, if applicable). Subsequent installments are charged automatically at each renewal.
- In the event of payment failure, FAVTECH may suspend access to the Service after an amicable recovery attempt. The subscription is reinstated as soon as payment is regularized.
- In accordance with article L. 441-10 of the French Commercial Code, any late payment will result in the application of penalties equal to three (3) times the legal interest rate, as well as a fixed recovery indemnity of 40 EUR.
7. Quotas and Overages
Each plan includes a monthly quota of synchronized SKUs. In case of overage:
- The Customer is informed in the application. They may either change plan or pay a per-unit complement whose rate is indicated in the billing flow;
- Otherwise, excess synchronizations may be queued until the next cycle.
8. Right of Withdrawal
As the Service is intended for professionals (B2B) acting within the scope of their business, the right of withdrawal provided for in articles L. 221-18 et seq. of the French Consumer Code does not apply.
9. Free Trials and Promotions
FAVTECH may offer free trial periods or temporary discounts. Unless cancelled before the end of the trial period, the subscription automatically continues at the chosen plan and becomes chargeable. The specific conditions of each offer are communicated at the time of subscription.
10. Service Level
- FAVTECH targets a Service availability of 99.5% on a monthly basis, excluding scheduled maintenance windows and cases of force majeure.
- Incidents can be reported to support@skufo.io. Response times depend on the subscribed plan.
- Backups are performed daily. The Customer remains responsible for preserving their own sources (catalogs, original files).
11. Confidentiality and Security
FAVTECH implements the technical and organizational measures described in its Privacy Policy to protect Customer data. Connections to Shopify stores are stored encrypted (AES-256-GCM) and never exposed in clear text.
12. Liability
FAVTECH is bound by an obligation of means. Its total liability for a contractual year is capped at the pre-tax amount actually paid by the Customer during the twelve (12) months preceding the triggering event. Indirect damages, in particular loss of revenue, customers, margin or image, are excluded.
13. Force Majeure
Neither party may be held responsible for a breach resulting from a case of force majeure within the meaning of article 1218 of the French Civil Code, including major network operator outages, unavailability of essential third-party services (Shopify, AI provider) or unforeseeable legislative events.
14. Subcontracting and Assignment
FAVTECH may use subcontractors to perform the Service, while remaining responsible for their services vis-a-vis the Customer. The Customer may not assign their subscription to a third party without prior written consent from FAVTECH.
15. Governing Law — Jurisdiction
These Terms of Sale are subject to French law. Failing an amicable solution, any dispute will be brought before the competent courts of Laval (53), where FAVTECH's registered office is located.
