Terms of Service

These Terms of Service (hereinafter « ToS ») govern access to and use of the SKUFO service, published by FAVTECH. They are supplemented by the Terms of Sale and the Privacy Policy.

1. Purpose

SKUFO is an online (SaaS) service enabling the import, transformation and synchronization of product catalogs to Shopify stores. The ToS define the rules for using the service and the rights and obligations of the parties.

2. Acceptance

Use of the service implies full and unreserved acceptance of these ToS. The user acknowledges having read them before creating their account. In case of disagreement, they must refrain from accessing the service.

3. Access to the Service

The service is accessible 24/7, subject to maintenance operations, incidents or cases of force majeure. FAVTECH endeavors to guarantee the best possible availability but cannot be held responsible for any temporary unavailability.

Access requires an Internet connection, a recent browser, and an active Shopify store for synchronization features.

4. User Account

  • The service is reserved for professionals (B2B). The user declares to act on behalf of a company and to have the authority to bind it.
  • The user agrees to provide accurate information, to keep it up to date, and to preserve the confidentiality of their credentials.
  • Any activity performed from an account is deemed to have been carried out by its holder. In the event of unauthorized use, the user must inform FAVTECH without delay at security@skufo.io.

5. Use of the Service

The user agrees to:

  • Use the service in compliance with applicable laws and regulations, particularly regarding personal data and intellectual property;
  • Not upload unlawful, counterfeit, deceptive content or content containing malware;
  • Not attempt to circumvent, disassemble or compromise the service, nor extract its source code;
  • Not use the service to send spam, perform unauthorized scraping, or harm third parties;
  • Comply with the terms of use and API quotas of the connected third-party platforms (notably Shopify).

6. Customer Data and Ownership

The user retains full ownership of the data they import into the service (catalogs, content, mappings). They grant FAVTECH a non-exclusive license, strictly limited to what is necessary to operate the service (storage, processing, synchronization, backup, security).

The user is solely responsible for the lawfulness and accuracy of the uploaded data and the rights they hold over it.

7. Artificial Intelligence Features

Some SKUFO features rely on artificial intelligence models provided by third parties (for example for product sheet transformation). The user acknowledges that:

  • Generated content may contain approximations and must be reviewed before publication;
  • They remain solely responsible for the content published on their stores and for its compliance with applicable rules (consumer information, advertising, trademarks);
  • Submitted prompts must not contain sensitive personal data or unlawful content.

8. FAVTECH Intellectual Property

The SKUFO service, its software components, documentation, trademark, interfaces and graphic charter are the exclusive property of FAVTECH. No provision herein shall be interpreted as a transfer of these rights to the user.

9. Availability and Support

FAVTECH provides the service in accordance with the commitments described in the Terms of Sale (target availability, support, maintenance windows). Service updates, fixes and upgrades are deployed without prior notice, without substantial degradation of the subscribed features.

10. Liability

FAVTECH is bound by an obligation of means. It cannot be held responsible for:

  • Indirect damages, loss of revenue, loss of customers, loss of image or loss of data resulting from misuse of the service;
  • Failures attributable to third-party services (Shopify, AI providers, network operators);
  • Incidents caused by the behavior of the user or their agents (incorrect configuration, publication of erroneous data, disclosure of credentials).

In any event, FAVTECH's total liability for a contractual year is capped at the pre-tax amount actually paid by the user during the twelve (12) months preceding the triggering event.

11. Suspension and Termination

FAVTECH may suspend or terminate access to the service, without prejudice to any damages, in the event of the user's breach of their obligations, non-payment, attempted fraud or security breach. The user may terminate their account at any time according to the terms set out in the Terms of Sale.

12. Personal Data

The processing of personal data is described in the Privacy Policy, which is an integral part of these terms.

13. Changes to the ToS

FAVTECH reserves the right to modify the ToS at any time. Users are informed of substantial changes by email or via the application, at least thirty (30) days before they take effect. Continued use of the service after this date constitutes acceptance of the new version.

14. Governing Law — Jurisdiction

These ToS are governed by French law. Failing an amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the courts of Laval (53), where FAVTECH's registered office is located, unless an imperative legal provision dictates otherwise.
